GrayMirror AI provides AI-powered automation services for businesses, including automated SMS responses, lead qualification, appointment scheduling, follow-up messaging, and performance reporting. Our AI systems operate on your behalf and communicate with your customers as your designated assistant.
Our services are tools designed to assist your business operations. They do not replace professional judgment, legal advice, medical advice, financial advice, or any other form of professional counsel.

Our services involve sending SMS messages to End Users on your behalf. The following terms apply:
Consent records: We maintain timestamped records of opt-in consent for all End Users who receive messages through our systems. These records are available to you upon request.
Program Name: GrayMirror AI Appointment Scheduling
Description: AI-powered conversational SMS service that responds to customer inquiries, qualifies service needs, and schedules appointments on behalf of participating businesses.
Message Frequency: Message frequency varies. Typically 3-8 messages per conversation, with up to 2 follow-up messages for inactive conversations. No more than 10 messages per inquiry.
Message & Data Rates: Message and data rates may apply. Check with your carrier for details.
Opt-Out: Text STOP at any time to any message to immediately stop receiving messages. You will receive a single confirmation message and no further messages will be sent.

Our AI systems generate automated responses based on the information provided. While we strive for accuracy and quality, AI Output is probabilistic in nature and may contain errors, omissions, or inaccuracies.
Specifically:
You retain full ownership of all data you provide to us, including business information, customer lists, and service details. You also retain ownership of all End User data collected through our systems on your behalf.
We do not use your data or your End Users' data to train AI models. Conversation data is processed in real-time to generate responses and is stored solely for the purpose of delivering our services to you (conversation history, reporting, and service improvement for your specific account).
To deliver our services, your data is processed by third-party providers including Twilio (SMS delivery), Anthropic (AI processing), Google (calendar and data storage), and Hetzner (server hosting). Each provider processes data according to their own privacy policies and data processing agreements. We select providers with strong security and privacy standards, but we are not liable for the data practices of third-party providers beyond our reasonable control.
Our property: All workflows, automation systems, code, configurations, templates, and methodologies developed by GrayMirror AI remain our intellectual property. You receive a non-exclusive, non-transferable license to use these systems for the duration of our service agreement.
Your property: Your business name, branding, customer data, and any content you provide remain your property.
Upon termination of services, your license to use our systems ends. We will provide you with an export of all your data upon request.
Fees for our services are outlined in the service agreement or proposal provided to you before work begins. Unless otherwise agreed in writing:
We strive to maintain high availability of our services, but we do not guarantee uninterrupted or error-free operation. Our systems depend on third-party infrastructure (hosting providers, SMS carriers, AI APIs) that may experience outages or disruptions beyond our control.
We will make reasonable efforts to notify you of any planned maintenance or known outages and to restore service as quickly as possible in the event of an unplanned disruption.
We are not liable for any lost revenue, missed leads, or business interruption caused by service downtime, whether planned or unplanned.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:
You acknowledge that you are using our services at your own discretion and risk, and that you are solely responsible for any decisions made based on the output of our AI systems.
Cap on liability: To the maximum extent permitted by law, GrayMirror AI's total aggregate liability to you for any and all claims arising out of or related to these Terms or our services shall not exceed the total amount you have paid to GrayMirror AI during the twelve (12) months immediately preceding the event giving rise to the claim.
Exclusion of damages: In no event shall GrayMirror AI be liable for any:

You agree to indemnify, defend, and hold harmless GrayMirror AI and its officers, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
By you: You may terminate our services at any time with 30 days written notice. Setup fees are non-refundable. Monthly fees are prorated to the date of termination.

Upon termination: We will provide you with an export of all your data within 14 days of your request. After 30 days from termination, we will delete your data and your End Users' data from our systems, unless legally required to retain it.
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemic, government actions, power failures, internet or telecommunications outages, carrier network disruptions, or failures of third-party service providers.
Informal resolution: Before initiating any formal proceedings, you agree to contact us at legal@graymirror.ai and attempt to resolve any dispute informally for a period of at least 30 days.
Arbitration: If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Hawaii. The arbitrator's decision shall be final and binding.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law provisions.
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate services as described in Section 13.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with any service agreement, proposal, or statement of work provided to you, constitute the entire agreement between you and GrayMirror AI regarding the services. Any prior agreements, representations, or understandings, whether written or oral, are superseded by these Terms.
